1. Acceptance of these terms

These Terms of Service (“Terms”) apply when you access or use the Banqloop website at banqloop.com, including its content, demonstration material, and forms. By using the website, you accept these Terms. If you use the website on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

2. Scope — these terms cover the website only

These Terms cover your access to and use of this public website. They do not govern the Banqloop platform, dashboards, or any pilot or production deployment. Product use is provided under a separate written agreement signed by you and Banqloop (Section 4). If you are looking for the terms that apply to the product itself, those are — and will only be — in that signed agreement.

3. Pilot program

The website describes a pilot program and lets you request one. Submitting a pilot request is an inquiry, not an order, and does not create any right to participate. Participation in a pilot is offered at Banqloop’s discretion and is governed exclusively by a separate pilot agreement signed by both parties, which will specify:

• the pilot period, locations, and equipment involved;
• that pilot use is for evaluation of the platform’s value on your roads;
• fees, if any;
• data handling, including imagery and location data; and
• what happens when the pilot ends.

4. Separate agreements control

If you have signed an order form, pilot agreement, master agreement, statement of work, or other executed contract with Banqloop, that document governs your use of the product and services and controls over these Terms in any conflict. These Terms and our Privacy Policy apply to the website; the Privacy Policy describes how we handle personal information collected through the website and the platform.

5. Accounts

Some parts of the website link to applications that require an account. You are responsible for the accuracy of registration information, for safeguarding your credentials, and for activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

6. Acceptable use

You agree not to:

• use the website for any unlawful purpose or in violation of any law;
• scrape, harvest, or extract content or data from the website other than by normal use of its public pages;
• probe, scan, or test the security of the website or any linked Banqloop system, or attempt to gain unauthorized access;
• interfere with the website’s operation or impose an unreasonable load on it; or
• misrepresent your identity or affiliation, including affiliation with a government agency.

7. Intellectual property and feedback

The website, its content, and the Banqloop name, logos, and platform are owned by Banqloop or its licensors and are protected by intellectual-property laws. Banqloop grants you a limited, revocable, non-exclusive license to view the website for its intended purpose. Nothing in these Terms transfers ownership to you. Demonstration content shown on the website is illustrative and does not depict any particular customer’s roads or data.

If you send us feedback, suggestions, or ideas about Banqloop or the website, you grant Banqloop a perpetual, irrevocable, royalty-free license to use them without restriction or attribution.

8. Disclaimers

The website is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the fullest extent permitted by law. Banqloop does not warrant that the website will be uninterrupted or error-free, and nothing on the website is engineering, legal, or professional advice on which road-maintenance decisions should be based. Product decisions belong in a signed agreement.

9. Limitation of liability

To the fullest extent permitted by law, Banqloop will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits or lost data, arising from or relating to the website or these Terms. To the fullest extent permitted by law, Banqloop’s total liability arising from or relating to the website and these Terms will not exceed one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

10. Government users

If you are a federal, state, or local government entity in the United States, you access the website as a member of the public, like any other user. The website is a commercial offering. Nothing in these Terms creates government procurement rights, and any government-specific terms must be agreed in a properly executed writing signed by an authorized Banqloop representative.

11. Changes to these terms

We may update these Terms as the website changes or as legal review concludes. We will update the version and date above when we do. Your continued use of the website after updated Terms take effect constitutes acceptance of the updated Terms.

12. Governing law
